AESTHETISMILE PARTNER AGREEMENT (2025 Edition)

Introduction
By registering as an AesthetiSmile Partner, purchasing training, or creating a Consultant Portal account with AesthetiSmile Ltd (“the Company”), you agree to be bound by the terms below. This Agreement defines the rights and responsibilities of both parties and forms a legally binding contract once accepted online.
- Intellectual Property Ownership. All AesthetiSmile trademarks, brand names, manuals, training materials, systems, templates, designs and methods remain the exclusive property of AesthetiSmile Ltd. Partners receive a limited, non-transferable licence to use these materials solely while active and compliant. All copies must be deleted or destroyed within 7 days of termination.
- Non-Compete (24 Months). The Partner shall not, for 24 months following termination, operate, train, advise or hold any interest in any business offering clip-in veneers or substantially similar cosmetic services within the United Kingdom.
- Confidentiality (NDA). All training content, pricing, processes, business methods and client information are confidential. Disclosure to any third party without written consent from AesthetiSmile Ltd constitutes a material breach.
- Exclusivity (Postcode Radius). Each Partner receives a 3-mile exclusivity radius. Exclusivity remains valid only while the Partner is active, compliant and up-to-date on all obligations. It ceases immediately upon suspension or termination.
- Liquidated Damages (£20,000). Any breach of the confidentiality, intellectual property or non-compete clauses will result in liquidated damages of £20,000, recognised by both parties as a fair pre-estimate of loss and not a penalty. AesthetiSmile Ltd may pursue additional recovery of legal fees and enforcement costs.
- Termination & Enforcement. AesthetiSmile Ltd may terminate this Agreement immediately for breach or misconduct. Upon termination, all rights cease and all materials, client data and digital access must be returned or deleted. The Company may take legal action and recover costs as required.
- Partner Obligations. Partners agree to uphold AesthetiSmile brand and cosmetic treatment standards, maintain professional conduct and hygiene, complete required training, follow all policies, and represent the brand positively in all public settings.
- Social Media & Brand Usage. Partners may use AesthetiSmile branding and marketing materials only as approved. Altering logos, designs or brand statements without written consent is prohibited. All social-media use must align with official brand guidelines.
- Payment & Commission Terms. Partners earn commission as communicated by AesthetiSmile Ltd. Payments are made fortnightly. AesthetiSmile Ltd reserves the right to amend pricing, commissions or payment schedules at any time, with or without prior notice. Such amendments become binding upon written or digital communication.
- Personal Guarantee (Joint Liability). The individual completing this registration personally guarantees all obligations under this Agreement and remains jointly and severally liable for all sums due, including damages and enforcement costs, regardless of business structure.
- Digital Monitoring Permission. The Partner consents to AesthetiSmile Ltd reviewing publicly available digital content—including websites and social-media platforms—to verify compliance with this Agreement. Monitoring shall not extend to private personal information.
- Approved-Materials Clause. All clip-in veneers, impression materials and associated supplies must be purchased exclusively from AesthetiSmile Ltd or its authorised distributors. The use or promotion of alternative or imitation materials constitutes a material breach.
- Data Protection (GDPR Compliance). Partners must handle all client data, photographs and records in accordance with UK GDPR. Any personal data shared with AesthetiSmile Ltd must be transmitted securely and used only for legitimate business purposes. Partners must obtain client consent for the capture and sharing of before-and-after images.
- Insurance Requirement. Partners must maintain appropriate professional indemnity and treatment-liability insurance covering the provision of cosmetic services. Proof of insurance shall be supplied to AesthetiSmile Ltd on request. Failure to maintain valid insurance constitutes grounds for immediate suspension.
- Brand Reputation & Compliance Control. AesthetiSmile Ltd reserves the right to withdraw or suspend a Partner’s branding privileges if their conduct, marketing, hygiene or treatment standards could reasonably damage the brand’s reputation. Upon written notice, the Partner must immediately remove all AesthetiSmile branding from premises, websites and social-media platforms.
- Governing Law & Jurisdiction. This Agreement is governed by the laws of England and Wales.
